Advises the Board on all matters of corporate law, multi-jurisdictional regulatory compliance, and ethical governance — with particular focus on the group's obligations across U.S., UK, Caribbean, and African jurisdictions.
Holds board-level responsibility for the group's Community Development Financial Institution programmes, social impact measurement, and the governance framework guiding capital deployment into underserved communities.
Responsible for board-level oversight of the group's proprietary technology strategy, digital infrastructure, data governance, and the long-term development roadmap for the GCiPay payments platform.
Oversees the integrity of the group's financial reporting, the independence of internal and external audit functions, and the adequacy of risk management frameworks across all operating entities.
Evaluates and approves material capital commitments, reviews the performance of the group's investment funds, and ensures that asset allocation aligns with the Board's stated strategic priorities.
Sets standards of conduct for all board members and senior executives, manages conflicts-of-interest disclosures, and leads the annual governance self-assessment process.

Manages trustee succession planning, sets the remuneration framework for executive officers, and evaluates the composition and skills balance of the Board on an ongoing basis.
